Role Summary

  • The Legal & Compliance Officer will provide legal, regulatory, and corporate governance support across TeamAce, TFS, and Paytro Limited.
  • The role involves drafting and reviewing legal documents, supporting compliance initiatives, maintaining statutory records, and performing company secretarial duties to ensure the organization operates in line with applicable laws and internal governance standards.
  • The officer will work closely with the Governance, Risk & Compliance Lead and external counsel to provide efficient legal support across the business.

Key Responsibilities

Legal Advisory & Contract Management:

  • Provide day-to-day legal support to management and business units.
  • Draft, review, and negotiate contracts and other legal documents.
  • Prepare and review SLAs, client agreements, vendor agreements, consultancy agreements, NDAs, and employment contracts.
  • Review procurement documents for legal adequacy and compliance.
  • Identify legal risks in contracts and recommend mitigation measures.
  • Maintain a central repository of executed contracts and monitor renewal dates.

Company Secretarial & Corporate Governance:

  • Liaise with the Corporate Affairs Commission (CAC) and relevant regulatory bodies on filings and post-incorporation matters.
  • Maintain statutory registers, corporate records, board resolutions, shareholder documentation, and company filings.
  • Support the implementation of corporate governance practices.

Compliance & Regulatory Support:

  • Monitor changes in laws and regulations and advise on business implications.
  • Support compliance initiatives and internal policy adherence.
  • Assist with compliance reports and regulatory submissions.

Policy & Documentation:

  • Review and update company policies, SOPs, and legal templates.
  • Provide legal input during policy development and process improvement initiatives.

Legal Risk Management:

  • Identify, assess, and monitor legal and compliance risks.
  • Maintain a legal risk register and track mitigation actions.
  • Advise management on legal vulnerabilities and recommend corrective actions.
  • Escalate significant legal or regulatory risks promptly.

Business Support:

  • Provide legal support during client onboarding and business transactions.
  • Review legal requirements for new business opportunities.
  • Liaise with external counsel on specialized legal matters.
  • Perform any other duties as assigned.

Requirements

  • LL.B Degree
  • B.L qualification from the Nigerian Law School.
  • Active membership of the Nigerian Bar Association (NBA).
  • Minimum of 2 years post-call experience in corporate/commercial law or legal advisory.
  • In-house or reputable law firm experience is an advantage.
  • Proficiency in Microsoft Office and Google Workspace.
  • Strong written and verbal communication skills.
  • High level of professionalism, integrity, and confidentiality.
  • Excellent organizational, planning, and time-management skills.
  • Ability to work independently and manage multiple priorities.
  • Added Advantage: Membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN).
