Key Responsibilities
Global Legal Strategy & Executive Leadership:
- Develop and lead AMMC's global legal strategy in alignment with its commercial objectives, operational activities and international expansion.
- Advise executive management on legal, corporate, regulatory and commercial matters affecting the company's operations and strategic direction.
- Establish and oversee legal frameworks, governance structures, policies and risk management systems across AMMC's business operations.
- Provide strategic legal guidance on market entry, corporate structuring, mergers and acquisitions, investments, joint ventures and international partnerships.
- Build and lead AMMC's legal function, managing internal legal resources, external counsel and jurisdiction-specific advisers.
International Trade & Commercial Transactions:
- Lead the legal structuring, drafting, review and negotiation of international commercial agreements, commodity contracts, strategic partnerships, joint ventures and cross-border transactions.
- Provide legal oversight for transactions involving mining, minerals, recycling, energy, petrochemicals, logistics, manufacturing, trade finance and related industries.
- Advise on international sale and purchase agreements, shipping and logistics contracts, Incoterms, payment structures, guarantees, escrow arrangements and other trade-related documentation.
- Support complex commercial negotiations with international buyers, suppliers, investors, financial institutions and strategic partners.
- Ensure that transactions are commercially sound, legally enforceable and appropriately structured to protect AMMC's interests.
Global Corporate & Regulatory Affairs:
- Oversee corporate and regulatory legal matters across African jurisdictions and international markets in which AMMC operates or intends to expand.
- Guide international market entry, business registration, licensing, regulatory approvals, corporate restructuring and compliance requirements.
- Advise on applicable laws and regulatory frameworks governing international trade, natural resources, investment, finance and cross-border business operations.
- Coordinate with local legal advisers and external law firms to ensure compliance with jurisdiction-specific legal requirements.
- Monitor relevant changes in international and domestic regulations and advise management on their potential business implications.
Governance, Compliance & Risk Management:
- Lead corporate governance, statutory compliance, legal risk management and regulatory reporting across the company.
- Develop and implement policies and procedures covering anti-bribery and corruption, anti-money laundering, sanctions, data protection, conflicts of interest and other applicable compliance requirements.
- Oversee legal due diligence, transaction risk assessments, contract management and dispute prevention.
- Advise management and relevant stakeholders on legal exposure, contractual obligations and risk mitigation strategies.
- Protect AMMC's commercial interests, intellectual property, assets, confidential information and contractual rights.
Trade Finance, Investment & Strategic Partnerships:
- Provide legal oversight for trade finance and corporate financing arrangements, including letters of credit, standby letters of credit, bank guarantees, escrow agreements, security arrangements and investment documentation.
- Support capital raising, project financing, investment structuring and strategic commercial initiatives.
- Build and maintain relationships with international law firms, financial institutions, investors, regulators, government agencies and professional organizations.
- Support the negotiation and legal structuring of international partnerships, investment opportunities and high-value commercial transactions.
- Identify legal and institutional opportunities that can support AMMC's international expansion and long-term growth.
Dispute Resolution & External Counsel Management:
- Oversee the management of commercial disputes, international arbitration, litigation, mediation and contract enforcement matters.
- Develop strategies to prevent, manage and resolve disputes while protecting AMMC's commercial and reputational interests.
- Select, coordinate and manage external legal advisers across different jurisdictions.
- Ensure effective legal representation and consistent legal standards across AMMC's international operations.
- Bachelor of Laws (LL.B) or equivalent Law Degree and the relevant professional qualification to practise law.
- Current licence or formal admission to practise law in at least one country, with good standing before the relevant legal regulatory body.
- Ideally 10 - 15+ years of post-qualification legal experience, including significant responsibility in corporate, commercial, international trade, transactional or regulatory law.
- Demonstrated experience advising on complex cross-border transactions, international commercial agreements, corporate governance and legal risk management.
- Strong understanding of African business and regulatory environments, alongside practical experience with international commercial and legal frameworks.
- Proven ability to provide strategic legal advice to executive management, boards, investors or senior commercial stakeholders.
- Experience leading legal teams, managing external counsel and coordinating legal matters across multiple jurisdictions.
- Excellent negotiation, leadership, analytical, communication and stakeholder-management skills.
- Strong professional reputation, integrity, discretion and sound commercial judgment.
- Ability to operate independently, manage complex priorities and deliver practical solutions in a dynamic international business environment.
- Genuine interest in African economic development, natural resources, international business and building African companies with global reach.
Professional Qualifications & Additional Advantages:
- LL.M or postgraduate qualification in International Business Law, International Trade Law, Corporate Law, Energy and Natural Resources Law, Finance Law or a related discipline.
- CIArb qualification or membership, or equivalent experience in international arbitration and dispute resolution.
- Chartered Governance qualification, such as CGI, ICSAN or an equivalent professional designation.
- Professional training or certification in compliance, anti-money laundering, sanctions or financial crime prevention, such as ICA or CAMS.
- Relevant training in international trade, trade finance or commercial contracting, including programmes offered by the International Chamber of Commerce (ICC).
- Additional admission to practise law in multiple jurisdictions.
- Experience working with multinational corporations, international law firms, financial institutions, mining and energy companies, investors or development finance institutions.
- Established professional relationships with law firms, regulators, government institutions, investors and senior business leaders across Africa and international markets.
- Fluency in English is required. Proficiency in French, Portuguese, Arabic or other international and African languages is an advantage.

Engagement & Compensation
- Performance-Based.
- The role will begin with a three-month performance-based earning period, during which compensation will be tied to agreed deliverables, performance and eligible business contributions.
- There is no fixed monthly salary during this initial period.
- A formal performance review will be conducted at the end of the initial period.
- Subject to performance, business requirements and mutual agreement, the successful candidate may transition into a full-time executive position with a fixed salary, applicable benefits and broader leadership responsibilities.
