Job Summary

  • The Executive Assistant / Compliance Officer will provide high level executive support to the Managing Director while supporting the organisation's legal, regulatory, governance and compliance requirements.
  • The role requires a strong legal background and the ability to coordinate executive priorities, monitor compliance obligations, review documentation, maintain corporate records and support management in ensuring that business activities are conducted in accordance with applicable laws, regulations, contractual obligations and internal policies.
  • The successful candidate must demonstrate strong legal and analytical capability, sound judgement, confidentiality and excellent organisational skills.

Key Responsibilities

Executive Support to the Managing Director:

  • Manage the Managing Director's calendar, meetings, appointments and key engagements.
  • Prepare meeting agendas, briefing notes, presentations, reports and other executive documents.
  • Attend management and departmental meetings as required, document key decisions and maintain an effective action tracker.
  • Follow up with Department Heads and other stakeholders on action points assigned by the Managing Director.
  • Monitor deadlines, commitments and deliverables arising from management meetings and executive directives.
  • Coordinate internal and external correspondence on behalf of the Managing Director where required.
  • Conduct research and provide relevant information to support executive decision making.
  • Maintain confidentiality of sensitive corporate, commercial, employee and management information.

Legal and Compliance:

  • Monitor the Company's compliance with applicable laws, regulations, contractual obligations and internal policies.
  • Review business documents, agreements, contracts, letters and other legal or commercial documentation and flag potential legal or compliance risks.
  • Support the preparation, review and maintenance of contracts, NDAs, MoUs, service agreements and other corporate documents.
  • Maintain a compliance register covering key statutory, regulatory, contractual and internal compliance requirements.
  • Track regulatory and statutory deadlines and coordinate with relevant departments to ensure timely compliance.
  • Identify potential compliance gaps and escalate material risks to the Managing Director and relevant management personnel.
  • Support the development, review and implementation of corporate policies, procedures and compliance frameworks.
  • Conduct periodic compliance checks across departments and document findings, corrective actions and closure status.
  • Maintain proper records of legal documents, regulatory correspondence, licences, permits, certificates and other compliance documentation.
  • Liaise with external solicitors, regulatory bodies, consultants and other professional advisers when authorised.

Corporate Governance:

  • Support the Managing Director and management in maintaining effective corporate governance practices.
  • Maintain records of management decisions, resolutions, approvals and other governance documentation.
  • Ensure that required approvals and authorisations are properly documented before execution of significant corporate activities.
  • Support the coordination of management meetings and preparation of minutes, action points and follow up reports.
  • Monitor adherence to approved policies, delegated authorities and internal control requirements.

Risk Management and Advisory Support:

  • Identify legal, regulatory, contractual and operational compliance risks arising from business activities.
  • Review proposed business arrangements from a legal and compliance perspective and highlight areas requiring management attention.
  • Support risk assessments and maintain a register of identified legal and compliance risks.
  • Recommend appropriate corrective and preventive actions within the scope of the role.
  • Escalate material legal, regulatory or contractual risks to the Managing Director promptly.

Reporting and Documentation:

  • Prepare periodic executive, compliance and governance reports for management review.
  • Maintain accurate and up to date records of compliance activities, outstanding actions and regulatory obligations.
  • Track the status of contracts, legal matters, regulatory submissions and other compliance-related activities.
  • Ensure proper filing and controlled access to confidential legal and corporate documents.

Key Performance Indicators

  • Timely and accurate executive support to the Managing Director.
  • Percentage of executive action points followed up and closed within agreed timelines.
  • Compliance with applicable statutory, regulatory and contractual requirements.
  • Timeliness of identification and escalation of compliance and legal risks.
  • Accuracy and completeness of legal, corporate and compliance documentation.
  • Timely completion of regulatory and compliance-related activities.
  • Reduction in outstanding compliance issues and overdue corrective actions.
  • Effectiveness of contract and legal document tracking.

Qualifications & Experience

  • Mandatory: Legal Background
  • Bachelor's Degree in Law (LL.B) is mandatory.
  • Call to Bar / qualification as a Barrister and Solicitor of the Supreme Court of Nigeria is strongly preferred.
  • 4 - 6 years of relevant professional experience in legal, compliance, corporate governance, executive support or a related function.
  • Demonstrable experience in legal documentation, contract review, compliance monitoring and corporate governance.
  • Experience supporting senior management or executives will be an advantage.
  • Experience within an engineering, construction, oil and gas, EPC or other corporate environment will be an added advantage.

Important:

  • Candidates without a legal background will not be considered for this position. A Law degree and relevant professional legal experience are mandatory.
