Sepha Energies Limited is seeking an experienced legal and corporate governance professional to join the Company as Company Secretary & Legal/Compliance Officer.

This is a key governance and management role responsible for supporting the Board of Directors, strengthening the Company's corporate governance framework, managing legal and contractual matters, and ensuring effective regulatory and corporate compliance across the organisation.

Key Responsibilities

  • Serve as Company Secretary to Sepha Energies Limited and provide governance support to the Chairman, Board of Directors and Board Committees.
  • Coordinate Board and Committee meetings, including preparation of agendas, Board papers, minutes, resolutions, action trackers and statutory records.
  • Advise the Board and Management on corporate governance, directors' responsibilities and applicable statutory and regulatory requirements.
  • Manage statutory corporate records, filings, Board appointments, resignations, disclosures and other corporate secretarial matters.
  • Draft, review and negotiate commercial agreements, contracts, MOUs, NDAs, partnership agreements, joint venture arrangements and other legal documents.
  • Provide legal support for major oil and gas projects, financing arrangements, investments, partnerships and strategic transactions.
  • Develop and maintain the Company's legal and compliance framework, policies and registers.
  • Identify, monitor and advise Management on legal, contractual, regulatory and compliance risks.
  • Manage disputes and litigation and coordinate external solicitors and specialist legal advisers where required.
  • Work closely with Finance, HR, Commercial, Operations, HSE and other functions to strengthen compliance across the organisation.

Qualifications & Experience

  • LL.B and B.L and duly qualified to practice law in Nigeria.
  • Minimum of 8 years post-call experience, with significant corporate and commercial legal experience.
  • Strong experience in Company Secretarial practice, Corporate Governance and Compliance.
  • Demonstrable experience supporting Boards and senior executive management.
  • Strong contract drafting, review and negotiation capabilities.
  • Good knowledge of CAMA and relevant corporate and regulatory requirements.
  • Experience in the oil & gas, energy, infrastructure or related sectors will be a strong advantage.
  • Experience with major commercial transactions, financing, joint ventures or strategic partnerships will be advantageous.
